Special Meeting – Constitution Vote
22nd November 2017 @ 19:00 - 20:00
Please read this!
On 1st August 2017 I circulated a copy of the proposed new Charitable Incorporated Organisation Constitution plus other documents to those of you who were on the database at that date. I advised you that we would be holding a vote on this on Wednesday 22nd November 2017 at the Yorkshire Museum of Farming, Murton, starting at 19:00 hours. Under the terms of Clause 11 of our current 2008 Constitution, we are required to do this at a special meeting of the Association.
If you have joined as a new member since 1st August 2017 and have not previously received a copy of this paperwork that I sent out, please contact me by email and I will forward you a copy.
Clause 4 of our 2008 Constitution requires that membership subscriptions are due for payment on the 1st October of each year, and that anyone who fails to renew by 31st December loses their privileges of membership. The wording of this Clause is felt to be grey and open to interpretation, so for the avoidance of doubt, your Committee decided last evening that only those members who have PAID their membership subscription for the current membership year (2017-2018) shall be entitled to vote – although those members who are in the “period of grace” are welcome to attend, but will not be able to vote.
The Committee has instructed me to bring along the up to date paid membership register as at close of business on 21st November 2017 so that there is clarity as to who has paid and who has not. A membership form and full instructions on how to pay is available for downloading from our web site here, so if you want to vote, please renew your subscription promptly.
In brief we will be voting on the following proposals:
(1) Whether to accept the proposed new 2017 Constitution to replace our 2008 Constitution
(2) Extending the current financial year (which started on 1st July 2017) to 30th September 2018 from 30th June 2018
(3) Changing the financial year to run from 1st October one year to 30th September the following year, with effect from 1st October 2018
The exact date that the 2017 Constitution becomes effective (should it be passed in the vote) will be advised when approval has been received back from the Charity Commission, with whom it will be filed after the meeting. My best guess is early in the New Year.
